These public Terms of Use (“Terms”) apply to your access to and use of Localintel’s publicly accessible websites, legacy microsites, hosted public links, downloadable reports and exports, hosted profiles/pages, embeddable widgets and iframe content, and other content or services that Localintel makes available to the public or that are shared with you by or on behalf of a Localintel customer, including where you receive, access, view, download, or otherwise interact with content generated through the Platform and shared by or on behalf of a Localintel customer (together, “Shared Content and Public Services”).

These Terms are intended to govern the rights of third-party viewers, recipients, and public users of Shared Content and Public Services. If you are a paying Localintel customer, or an authorized user accessing the Localintel platform on behalf of a customer, your organization’s agreement with Localintel – including any Master Subscription and Services Agreement, Order Form, Platform Terms of Use, Privacy Policy, Data Processing Addendum, or other contractual commitments – governs your commercial relationship with Localintel and prevails to the extent of any conflict.

By accessing, viewing, downloading, using, or interacting with Shared Content and Public Services, you agree to these Terms.

1. What these Terms cover

These Terms apply to content and services made available by Localintel, including:

• legacy Localintel microsites;
• embeddable web tools, widgets, dashboards, and iframe content;
• hosted public weblinks to profiles, charts, maps, dashboards, and similar pages;
• downloadable reports, PDFs, charts, maps, images, and data exports;
• generated stories, summaries, narratives, and other content shared by or on behalf of a Localintel customer; and
• other public-facing content, pages, or views made available through Localintel websites or services.
• third-party receipt, access, viewing, downloading, or use of content generated through the Platform and shared by or on behalf of a Localintel customer.

2. Ownership

Unless expressly stated otherwise, Shared Content and Public Services – including reports, PDFs, hosted profiles and pages, charts, maps, visualizations, layouts, narratives, widgets, dashboards, software, templates, designs, and related materials – are owned by Localintel Inc. and/or its licensors.

Some Shared Content may incorporate customer-provided data, public data, licensed data, or third-party materials. Nothing in these Terms transfers ownership of such materials to you. These Terms give you only the limited rights expressly stated below.

3. Limited license for third-party recipients and public viewers

Subject to these Terms, Localintel grants you a limited, non-exclusive, non-transferable, revocable license to:

• access, view, and use Shared Content and Public Services for lawful business, advisory, planning, evaluation, procurement, project, research, communications, educational, or decision-making purposes;
• download and retain copies of downloadable Shared Content for your internal use;
• copy and share Shared Content internally within your organization;
• quote from Shared Content and include excerpts, screenshots, charts, maps, and portions of it in presentations, memoranda, reports, and other work product, including work product prepared for the originating customer or for your own internal purposes; and
• refer other people to hosted public weblinks or publicly available Localintel pages in their original form.

You must keep copyright, attribution, source, and other proprietary notices intact where they appear.

4. What you may not do

Unless Localintel or the originating customer expressly permits otherwise in writing, you may not:

• resell, sublicense, white-label, or commercialize Shared Content or Public Services as a standalone product or service;
• redistribute Shared Content in bulk for independent third-party use;
• use Shared Content or Public Services to create, support, train, market, or power a competing platform, dataset, model, report library, widget catalog, or data/content service;
• remove, obscure, alter, or bypass proprietary notices, branding, source references, copyright notices, or attribution;
• frame, mirror, syndicate, scrape, or systematically extract Shared Content or Public Services for republication or reuse at scale;
• use Localintel-hosted widgets, iframe content, or public weblinks outside the ways they are made available by Localintel;
• interfere with, disrupt, misuse, or attempt unauthorized access to any Localintel website, hosted page, widget, system, or service; or
• claim ownership of Shared Content or misrepresent Shared Content as your own original work, except that you may quote from it or include excerpts in your own work product as permitted by these Terms.

5. External sharing, republication, and public use

You may use Shared Content in your ordinary business activities as permitted above, including in internal presentations, advisory materials, evaluation documents, and similar work product.

However, you may not broadly republish, publicly post, bulk distribute, or externally redistribute Shared Content except:

• as authorized by the originating Localintel customer within the scope of that customer’s rights;
• through Localintel-hosted public weblinks or widgets in the form made available by Localintel; or
• with Localintel’s prior written consent.

Nothing in these Terms expands or limits the rights that the originating customer may have under its agreement with Localintel.

6. Hosted pages, widgets, and legacy microsites

Some Shared Content and Public Services are hosted and controlled by Localintel, including public weblinks, hosted profile pages, legacy microsites, and embeddable widgets.

Those hosted and embeddable features remain under Localintel’s control. Localintel may modify, update, disable, restrict, or remove them at any time. Your right to view and use them is limited to the way they are made available to you.

You do not receive any ownership right, platform access right, API right, source code right, editing right, or transfer right in relation to hosted pages, widgets, microsites, or embeddable content unless Localintel separately authorizes it in writing.

7. Accuracy, AI, and use at your own risk

Shared Content may include:

• public and licensed source data;
• customer-provided data;
• Localintel-created estimates, projections, or derived metrics; and
• AI-assisted text, stories, summaries, narratives, or other generated outputs.

Shared Content and Public Services are provided for general informational and business use only. They are not legal, financial, engineering, actuarial, lending, planning, investment, or other professional advice.

While Localintel aims to provide trustworthy, publish-ready content, you are responsible for evaluating Shared Content for your intended use. If you rely on Shared Content for important decisions, external publications, or regulated/professional contexts, you should conduct your own review and use appropriate professional judgment. Where you export, publish, reuse, or further share AI-assisted or platform-generated content, you are responsible for reviewing, verifying, and, where appropriate, modifying it before public use.

8. Customer-shared and third-party content

Some Shared Content may be generated from or incorporate data or materials supplied by a Localintel customer or obtained from third parties. Your use of such Shared Content remains subject to any applicable third-party rights, source restrictions, or notices included in the content.

Nothing in these Terms gives you rights to reuse customer-provided data or third-party materials beyond what is included in the Shared Content as made available to you.

9. No unlawful or abusive use

You may not use Shared Content or Public Services for any unlawful, harmful, fraudulent, abusive, deceptive, defamatory, or misleading purpose.

You also may not use bots, scraping tools, automated extraction tools, or similar means to access or copy Localintel websites, hosted pages, microsites, widgets, or services except to the extent Localintel expressly permits it in writing.

10. Privacy

If you access Shared Content or Public Services through a Localintel-hosted web page, hosted profile, public weblink, legacy microsite, widget, or similar delivery method, Localintel may collect limited technical and usage information such as IP address, browser/device information, access logs, interaction information, and similar activity data in accordance with Localintel’s Privacy Policy available at www.localintel.com/privacy.

11. Suspension and termination

Your limited license under these Terms terminates automatically if you breach them.

Localintel may suspend, restrict, disable, or terminate access to any Shared Content or Public Services at any time, including where necessary for legal, security, operational, licensing, customer, or reputational reasons.

Upon termination of your rights under these Terms, you must stop using the affected Shared Content and Public Services, except to the extent continued retention is required by law or ordinary internal recordkeeping obligations.

12. Disclaimers

To the fullest extent permitted by law, Shared Content and Public Services are provided “as is” and “as available.”

Localintel does not guarantee that Shared Content or Public Services will be complete, accurate, current, uninterrupted, error-free, or suitable for your specific purpose. Localintel disclaims all implied warranties to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, Localintel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of business, revenue, profits, goodwill, data, or opportunity arising from or related to your use of Shared Content or Public Services.

If Localintel is found liable to you for any claim arising out of or relating to these Terms or your use of Shared Content or Public Services, Localintel’s total liability will be limited to the greater of: (a) CAD $100, or (b) the amount, if any, you paid directly to Localintel for the specific Shared Content or Public Service giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

14. Changes to these Terms

Localintel may update these Terms from time to time. When we do, we will post the updated version on our website and update the Last updated Date above. By continuing to access or use Shared Content or Public Services after updated Terms become effective, you agree to the updated Terms.

15. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict of laws principles.

You agree that the courts located in Calgary, Alberta will have exclusive jurisdiction over disputes arising out of or relating to these Terms or your use of Shared Content or Public Services, unless applicable law requires otherwise.
