This Privacy Policy explains how Localintel Inc. ("Localintel," "we," "us," or "our") collects, uses, discloses, and otherwise Processes Personal Information in connection with our websites, hosted pages, legacy microsites, embeddable widgets, applications, Platform (as defined below), hosted Content, public weblinks, demos, events, communications, and related business activities. This Privacy Policy also describes how we handle Personal Information relating to representatives of our customers, prospective customers, partners, vendors, and other business contacts, as well as third parties who access or receive content generated through the Platform and shared by or on behalf of a Localintel customer.

This is a general privacy policy that applies to all individuals who interact with Localintel, including website visitors who do not have a contractual relationship with us. Where a Master Services Agreement (“MSA”), Terms of Use, service-specific terms, or other contractual commitments apply to the Processing of Personal Information by Localintel on behalf of or in connection with a customer, those agreements supplement and, in the event of a conflict, govern over this Privacy Policy with respect to that customer relationship.

For purposes of this Privacy Policy:

"Applicable Privacy Laws" means all applicable laws, regulations, rules, orders, and binding guidance governing the privacy, protection, processing, or security of Personal Information, as in force and amended from time to time, including without limitation the Personal Information Protection and Electronic Documents Act (Canada) ("PIPEDA"), the Personal Information Protection Act (Alberta) ("PIPA"), and any other federal, provincial, state, or foreign privacy, data protection, or data security laws applicable to the parties or to the Personal Information Processed in connection with this Agreement.

"Content" means any output, narrative, visualization, document, or data generated, displayed, or made available through the Platform.

"Personal Information" means information about an identifiable individual, as defined under Applicable Privacy Laws.

"Platform" means the Localintel platform and related services provided under the MSA, Terms of Use, applicable Order Forms, and related contractual documents, including all components, systems, and services operated by Localintel to deliver functionality, including the user interface, content outputs, underlying software, data systems, AI modules (including machine learning or generative AI components used to produce or enhance Content), hosting infrastructure, APIs, and associated tools or services.

"Platform Interaction Data" means usage metrics, selection patterns, feature usage, navigation behavior, feedback, service performance data, and similar interaction or behavioral information generated through use of the Platform, Content, public weblinks, widgets, or related services.

"Process", "Processes", and "Processing" mean any operation or set of operations performed on Personal Information, whether or not by automated means, including collection, recording, organization, structuring, storage, adaptation, alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment, combination, restriction, erasure, or destruction, in each case as further defined or construed under Applicable Privacy Laws.

1. Scope and How This Privacy Policy Applies

This Privacy Policy applies to Personal Information that we collect and process when you:

  • access or use our websites, hosted pages, legacy microsites, embeddable widgets, applications, Platform, demos, public/share links, or online services;
  • communicate with us by email, phone, social media, webforms, chat, or otherwise;
  • interact with us as a representative of a customer, prospective customer, partner, service provider, supplier, referral source, or other organization that does business with us or is considering doing business with us;
  • register for, attend, or participate in our webinars, events, surveys, newsletters, research, or promotional activities; or
  • receive, access, view, download, or otherwise interact with Content generated through the Platform and shared by or on behalf of a Localintel customer, including through downloadable reports, hosted pages, widgets, or public weblinks.

2. Personal Information We Collect

The Personal Information we collect depends on how you interact with us, the services used, your account settings, and applicable law. This Privacy Policy addresses Personal Information that we collect directly from or about individuals who interact with us or our services, as described below. Other categories of data processed through the Platform are governed by applicable agreements between Localintel and its customers.

We may collect the following categories of Personal Information:

Contact and account information, such as name, employer, job title, username, password, business email address, business telephone number, mailing address, and account profile details.

Content, inputs, and communications, such as information you submit through forms, inquiries, support requests, feedback, survey responses, uploaded materials, prompts, messages, meeting notes, and communications with us.

Usage and device information, such as log data, IP address, browser type, device identifiers, operating system, approximate location derived from IP, referring URLs, pages viewed, links clicked, session timing, feature usage, configuration data, Platform Interaction Data, and similar activity information.

Business relationship information, such as organization name, role, purchasing interest, subscription history, contract status, billing contacts, onboarding details, event participation, and records relating to our commercial relationship.

Transaction and billing information, such as billing address, subscription details, invoice information, payment status, and limited payment-related information. Payment card information is typically processed by our payment service providers rather than stored directly by Localintel, except as necessary for transaction administration and records.

Security and compliance information, such as authentication data, audit logs, records of consents or preferences, fraud indicators, and information needed to investigate misuse, enforce our terms, or comply with legal obligations.

3. Sources of Information

We collect Personal Information from a variety of sources, including:

  • directly from you, such as when you create an account, request a demo, contact us, sign up for updates, use the Platform, access hosted pages, Content, or widgets, submit content, or otherwise communicate with us;
  • from your organization or others acting on its behalf, such as administrators, colleagues, procurement contacts, implementation teams, or authorized users;
  • automatically through cookies, SDKs, pixels, logs, and similar technologies when you interact with our websites, hosted pages, legacy microsites, widgets, emails, applications, public weblinks, or Platform;
  • from service providers, analytics providers, advertising or marketing partners, event partners, social media platforms, third-party data licensors whose datasets are incorporated into the Platform, and publicly available or commercially available sources; and
  • from third parties connected to your use of the services, such as single sign-on providers, integration partners, resellers, or referral sources, where permitted by law.

4. How We Use Personal Information

We may use Personal Information for the following purposes:

  • to provide, operate, maintain, support, secure, and improve our websites, hosted pages, legacy microsites, embeddable widgets, applications, Platform, Content, and related services;
  • to set up accounts, manage subscriptions, onboard customers, authenticate users, provide training, respond to inquiries, and administer our business relationship;
  • to make downloadable, hosted, embeddable, and publicly shared Content available to authorized users, recipients, and viewers in accordance with the MSA and our public-facing terms;
  • to understand how our websites, hosted pages, widgets, content, campaigns, and services are used, to measure performance, troubleshoot issues, develop new features, and improve user experience;
  • to communicate with you about updates, service messages, events, newsletters, product information, offers, and other marketing or business development activities, subject to your prior consent and applicable law;
  • to understand how our websites, hosted pages, widgets, content, campaigns, and services are used, and to measure performance, and to personalize or tailor content, recommendations, and outreach;
  • to process transactions, invoices, renewals, collections, and related financial administration;
  • to detect, prevent, investigate, and address security incidents, fraud, unauthorized access, misuse, and violations of our agreements or policies; and
  • to comply with applicable law, legal process, governmental requests, industry standards, and our recordkeeping, regulatory, and contractual obligations.

5. Legal Bases for Processing Where Applicable

In jurisdictions that require a legal basis for Processing Personal Information, we generally rely on one or more of the following:

  • performance of a contract or taking steps at your request before entering into a contract;
  • our legitimate interests, such as operating and improving our business and services, securing our systems, understanding usage, communicating with business contacts, and marketing our services in a proportionate and lawful manner;
  • compliance with legal obligations;
  • your consent, where required by law, including for certain cookies and similar technologies or certain marketing activities; and
  • other lawful bases available under applicable law.

6. Cookies and Similar Technologies

We and our partners may use cookies, pixels, local storage, software development kits, tags, session replay tools, and similar technologies to collect information about how you use our websites, hosted pages, legacy microsites, embeddable widgets, applications, emails, public weblinks, and Platform.

These technologies may be used to remember preferences, maintain sessions, enable functionality, understand traffic and usage patterns, improve performance, personalize content, measure campaign effectiveness, and support security.

Depending on your location, you may be able to manage cookies through our cookie banner or preference tools, your browser settings, or device controls. Where Localintel controls the interface, we seek to provide appropriate consent mechanisms where required by law. For widgets, iframes, or embedded content hosted on third-party or customer-controlled websites, the operator of that website is responsible for obtaining any required consents from end users in connection with our technologies. If you disable certain technologies, some features may not work as intended.

7. Service Monitoring and Improvement

We may collect or receive Platform Interaction Data in connection with the use of our website, Platform, Content, public weblinks, widgets, and related services, either directly or through third-party service providers acting on our behalf. We Process Platform Interaction Data to provide, operate, maintain, support, secure, and improve our services, including to understand feature usage, monitor performance, troubleshoot issues, and detect and prevent unauthorized access, intrusion, misuse, or abuse. Where appropriate, we use aggregated or de-identified information for these purposes. We may share aggregated or de-identified summary reports based on Platform Interaction Data with our Customers. We do not use Platform Interaction Data to build individual behavioural profiles or for targeted advertising.

8. How We Disclose Personal Information

We may disclose Personal Information to the following categories of recipients, as appropriate for the purposes described in this Privacy Policy:

  • service providers and contractors that help us operate our business and services, such as hosting providers, cloud infrastructure providers, analytics providers, customer support tools, CRM providers, marketing vendors, communications platforms, payment processors, security providers, implementation partners, and professional advisors. Where we engage subprocessors to process Personal Information on behalf of customers, we bind them to data protection obligations consistent with applicable law and our contractual commitments to the relevant customer;
  • customers and account administrators, where information relates to users associated with a customer account or where disclosure is necessary to provide or administer the services;
  • affiliates, successors, counterparties, investors, acquirers, and advisors in connection with an actual or proposed financing, merger, acquisition, reorganization, sale of assets, or similar corporate transaction;
  • courts, regulators, law enforcement, government authorities, or other third parties where required or permitted by law, or where reasonably necessary to protect rights, safety, property, or security;
  • third parties at your direction or with your consent, including through integrations, embedded content, event participation, or public-facing features you choose to use; and
  • other parties where information has been aggregated, deidentified, or otherwise processed in a form that does not identify an individual, to the extent permitted by law.

9. International Transfers

Localintel uses service providers and infrastructure located in Canada, the United States, and other countries. As a result, Personal Information may be transferred to, stored in, or accessed from jurisdictions that may have privacy laws different from those in your jurisdiction.

Where required by applicable law, we use appropriate safeguards for cross-border transfers, which may include contractual protections, adequacy-based mechanisms, internal policies, and other lawful transfer tools recognized under applicable law.

10. Data Retention

We retain Personal Information for as long as reasonably necessary for the purposes described in this Privacy Policy, including to provide the services, maintain accounts, support business relationships, comply with legal obligations, resolve disputes, enforce agreements, and protect our rights and systems. Where we Process Personal Information on behalf of customers, retention, return, and deletion are governed by the applicable customer agreement, customer instructions, and applicable law.

Retention periods vary depending on the nature of the information, the sensitivity of the information, the context in which it was collected, whether the information is needed for ongoing services or business operations, and applicable legal, regulatory, tax, accounting, and contractual requirements.

11. Security

We implement and maintain reasonable and appropriate technical, organizational, and administrative measures designed to protect Personal Information against unauthorized access, loss, misuse, alteration, and disclosure, and to preserve the security, confidentiality, and integrity of Personal Information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Personnel authorized to access Personal Information are subject to appropriate confidentiality obligations and are made aware of their responsibilities in handling Personal Information. You are responsible for maintaining the confidentiality of your credentials and for using appropriate security measures on systems you control. If you believe your interaction with us is no longer secure, please contact us promptly. In the event of a security breach involving Personal Information controlled by us that creates a real risk of significant harm (risks such as identity theft, financial loss, physical harm, or reputational damage), we will notify affected individuals and applicable regulatory authorities (such as the Office of the Privacy Commissioner or the CAI) as required by law.

12. Your Rights and Choices

Depending on where you are located and subject to applicable law, you may have certain rights and choices regarding your Personal Information. These may include the right to:

  • access, know about, confirm, or receive a copy of certain Personal Information we hold about you;
  • request correction of inaccurate Personal Information;
  • request deletion of certain Personal Information;
  • request de-indexing or removal of content or links connected to your name where such content may harm your reputation or privacy, or constitutes a violation of applicable law, where applicable;
  • object to or request restriction of certain processing;
  • object to, or request human review of, decisions made about you solely through automated processing that produce legal or similarly significant effects on you, where applicable;
  • request portability of certain Personal Information;
  • withdraw consent where processing is based on consent, without affecting the lawfulness of processing before withdrawal;
  • opt out of marketing communications by using the unsubscribe link in the message or contacting us; and
  • lodge a complaint with a regulator or, where applicable, appeal a decision we make regarding your request.

To exercise rights where Localintel acts as controller (whether you are a website visitor with no MSA or have a customer relationship with us), please contact us using the details below. We will respond to your request within the timeframe required by applicable law. If we Process your Personal Information on behalf of a customer under an MSA or similar agreement, we may refer your request to that customer or ask you to submit your request directly to them, as they control the relevant Processing.

13. U.S. State Privacy Disclosures

Residents of certain U.S. states may have additional rights under applicable state privacy laws, subject to exemptions and limitations. These rights may include the rights to access, correct, delete, and obtain a copy of Personal Information, as well as rights to opt out of certain Processing activities such as targeted advertising, certain profiling, or the sale or sharing of Personal Information as those terms are defined by applicable law.

Localintel does not sell Personal Information for money. We also do not use Personal Information for targeted advertising in all contexts. However, certain uses of cookies, pixels, or similar technologies could be treated as "sale," "sharing," or targeted advertising under some state laws. Where applicable, you may exercise opt-out choices through our cookie tools or by contacting us.

We will not discriminate against you for exercising privacy rights provided by law. If you are entitled to appeal a rights decision, you may do so by contacting us and stating that you wish to appeal our response.

14. Canadian Privacy Disclosures

Localintel operates from Canada and is subject to Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, provincial privacy laws including Quebec's Law 25. If you are a resident of Canada, you have rights under applicable Canadian privacy laws, which may include:

  • the right to access Personal Information we hold about you and receive information about how we use and disclose it;
  • the right to request correction of inaccurate or incomplete Personal Information;
  • the right to request deletion of Personal Information in certain circumstances;
  • the right to withdraw consent where processing is based on consent;
  • the rights to data portability, to object to automated decision-making, and to de-indexing, as described in Section 12 of this Privacy Policy, which apply to Quebec residents specifically under Quebec Law 25; andthe right to lodge a complaint with the Office of the Privacy Commissioner of Canada or, for Quebec residents, the Commission d'accès à l'information du Québec (CAI).

We will respond to access requests within the timeframes required by applicable law.. Where we Process Personal Information on behalf of customers, we provide reasonable assistance to enable customers to respond to data subject requests as required by applicable law and our contractual commitments to the relevant customer.

15. Additional International Privacy Information

Depending on the context, Localintel may act as a controller, business, processor, service provider, or similar role with respect to Personal Information. We Process Personal Information in accordance with Applicable Privacy Laws and the MSA, Terms of Use, and related contractual commitments that govern the relevant services and relationship.

Where applicable, we seek to Process Personal Information in a manner that is relevant, proportionate, and limited to legitimate purposes, and we implement processes designed to support transparency, data minimization, security, and rights handling.

If you are located in a jurisdiction that provides a right to contact a local supervisory authority or data protection regulator, you may do so in accordance with applicable law.

If you are located in the European Economic Area ("EEA") or the United Kingdom, the General Data Protection Regulation ("GDPR") or applicable UK data protection law may apply to the processing of your Personal Information by Localintel. If you are located in the EEA or the United Kingdom, the rights described in Section 12 of this Privacy Policy apply to you. To exercise those rights or to make any GDPR-related inquiry, please contact us using the details set out in Section 18.

16. Children's Privacy

Our websites, hosted pages, legacy microsites, widgets, applications, and Platform are intended for business and institutional users and are not directed to children. We do not knowingly collect Personal Information directly from children under the age at which consent is required under applicable law. If you believe a child has provided Personal Information to us inappropriately, please contact us so that we can review and take appropriate action.

17. Third-Party Sites, Services, and Links

Our websites, communications, hosted pages, legacy microsites, widgets, and Platform may contain links to third-party websites, services, content, integrations, or embedded features that are not controlled by Localintel. This Privacy Policy does not apply to those third parties, and we encourage you to review their privacy policies and terms before interacting with them.
